Terms and Conditions

The commercial details of a Program, including the applicable fee, quantity, duration, package benefits and promotional treatment, will be those displayed on the Platform or otherwise confirmed to the Seller at the time of purchase (the "Purchase Details").

Fees paid to Hamrobazar under these Seller Program Terms are fees for the relevant Seller Program purchased from Hamrobazar. Payment of such fees does not make Hamrobazar a party to, guarantor of or participant in any transaction subsequently entered into between a Seller and buyer.

The Seller acknowledges and agrees that participation in any Program does not exempt the Seller from compliance with applicable laws, regulations or the Platform Terms. The Seller shall remain solely responsible for its compliance with such requirements, and Hamrobazar shall not be responsible or liable for any non-compliance, violation or breach by the Seller.

"Account" means a registered account maintained on the Platform.

"Active Listing" means a Listing that has been successfully published and remains visible on the Platform.

"Banner Advertisement" means a paid, time-bound advertising placement displayed in designated advertising inventory on the Hamrobazar Platform.

"Boost" or "Boosted Listing" means a paid promotional service under which an eligible Listing receives the promotional treatment, priority, placement or visibility described in the applicable Purchase Details.

"Free Listing" means the limited number of Active Listings a Seller may maintain without payment of a Listing Fee, as specified on the Platform from time to time.

"Listing" means an advertisement for goods or services published on the Platform.

"Listing Slot" means the slots made available to Seller to publish eligible good or service which is consumed upon publication of that Listing.

"Listing Fee" means the fee payable for a paid Listing Slot Entitlement.

"Listing Package" means a package containing a specified number of paid Listing Slot Entitlements that may be activated during the applicable package validity period.

"Listing Validity Period" means the period for which a Listing remains active after publication, as specified on the Platform or in the applicable Purchase Details.

"Package Validity Period" means the period during which unused Listing Slots included in a Listing Package may be activated, as specified in the applicable Purchase Details.

"Pay-As-You-Go Listing" means an individual paid Listing Slot purchased separately rather than through a Listing Package or Subscription Package.

"Program Benefits" means the Listing Slots, Boosts, advertising placements, analytics, promotional services, verification-related benefits and/or any other features or services expressly included in the applicable Seller Program or Purchase Details.

"Seller" or "Subscriber" means any individual or legal entity holding a Hamrobazar Account that lists or intends to list goods or services on the Hamrobazar Platform or participates in any Seller Program under these Terms, including a Seller participating in a Subscription Package, Verified Seller Program, Listing Fee Program or Boosted Listing service, as applicable.

"Subscription Package" means a subscription-based package offered by Hamrobazar that entitles a Seller, during the applicable Subscription Term, to access and use the Listing Slots, promotional services, verification-related benefits and/or other Program Benefits specified in the applicable Purchase Details.

"Subscription Term" means the subscription period specified in the applicable Purchase Details.

"Verified Badge" means the Platform badge displayed on an Account that has successfully completed the applicable Hamrobazar verification process.

"Verified Seller" means a Seller whose Account is entitled to display a current Verified Badge.

3.1 A paid Program or benefit is activated only after Hamrobazar receives successful payment confirmation.

3.2 Hamrobazar reserves right to revise prices, packages, listing limits and promotional options from time to time. Changes apply to future purchases or renewals and will not retrospectively increase the price of a benefit already purchased.

3.3 Promotional or introductory prices apply only for the period, quantity or eligibility conditions stated when offered and do not create a right to the same price on renewal or future purchase.

3.4 All Program fees shall be displayed in Nepalese Rupees (NPR). Applicable taxes shall be charged or reflected as required by applicable law and as indicated on the Platform or in the applicable Purchase Details.

4.1 Except where stated otherwise below, Program fees are non-refundable once the relevant paid benefit has been activated.

4.2 Where payment is deducted but the purchased benefit is not activated because of Hamrobazar system or processing error, Hamrobazar may, after verification, restore the benefit entitlement, re-perform the benefit or refund the affected amount, as appropriate.

4.3 No refund or replacement is ordinarily due where a listing, Program benefit or Account is suspended or removed because of the Seller's breach of law, the Platform Terms or these Seller Program Terms.

4.4 Approved refunds will ordinarily be initiated within Thirty (30) working days. The time taken for the amount to appear in the Seller's account may depend on the relevant bank or payment service provider. Any refund shall be subject to Hamrobazar's review, verification and approval of the relevant claim and shall be granted at Hamrobazar's discretion in accordance with these Terms and applicable law.

5.1 Free Listing

Unless otherwise stated on the Platform, Seller may maintain a limited number of free Active Listings at any given time, as determined by Hamrobazar from time to time.

5.2 Pay-As-You-Go Listing

Each Pay As You Go Listing Slot is purchased separately and entitles the Seller to publish one Advertisement on the Platform. The Listing Slot shall be deemed used and fully consumed upon publication of the Advertisement by the Seller, which shall remain active for applicable Listing Period from the date of publication as specified by Hamrobazar, unless removed, suspended, deleted or terminated earlier in accordance with these Terms. A consumed Listing Slot shall not be reused, reinstated, extended, transferred or refunded. Deleting, removing, suspending or terminating an Advertisement before expiry of its applicable Listing Period shall not reinstate or extend the corresponding Listing Slot, and any subsequent or replacement Advertisement shall require the purchase of a new Listing Slot.

5.3 Single Use

A paid listing entitlement is consumed when the relevant advertisement is successfully published. Voluntary deletion or early removal by the Seller does not restore or transfer the entitlement to a new advertisement.

5.4 Listing Packages

A Listing Package provides the number of Listing Slots specified in the applicable Purchase Details, which must be activated during the applicable Package Validity Period. Any unused Listing Slot expires upon expiry of the Package Validity Period.

5.5 Listing Slots Validity

Once a Listing Slot is used, the resulting Listing shall remain active for the applicable Listing Validity Period unless removed, suspended or terminated earlier in accordance with these Terms. Expiry of the Package Validity Period shall not shorten the Listing Validity Period of a Listing validly published before such expiry.

5.6 Unused Package Listings

Any Listing Slots not used before expiry of the Listing Package Validity Period will expire automatically and do not carry over, transfer or convert into cash or a refund.

5.7 Material Changes to a Listing

Each Listing Slots may be used only for the specific item or service originally advertised and published in the relevant listing slot in the Platform. The Seller shall cannot alter, replace or substitute the advertised item or service with a different item or service under the same listing for the purpose of avoiding or circumventing a new listing slot. Where the Seller wishes to advertise a different item or service, a new listing shall be created using a separate Listing Slot.

5.8 Rejected or Removed Listings

If a paid Listing is removed or suspended because it does not comply with applicable law or Platform rules, the Seller is not entitled to a refund. If a compliant and valid paid Listing cannot be published because of a verified Hamrobazar error, Hamrobazar may restore such paid Listing Slot entitlement.

5.9 No Result Guarantee

A listing fee pays only for the applicable right to publish and maintain an eligible Listing. It does not verify the Seller or product, include a Boost unless expressly stated, or guarantee views, enquiries, ranking or sales.

6.1 Subscription Package

A Subscription Package enables the Seller to access and use the subscription-based services and benefits made available by Hamrobazar under the subscription package for the applicable subscription period. The applicable package details and tiers, applicable fees, validity periods and any conditions or limitations, shall be communicated or displayed to the Seller at the time of purchase of subscription and shall form part of the applicable Subscription Package. Availability and use of any such benefits shall remain subject to these Terms and any package-specific terms communicated by Hamrobazar.

Disclaimer

The Subscription benefits applicable to each package are those displayed on the Platform or otherwise communicated by Hamrobazar at the time of purchase. Hamrobazar reserves the right to add, modify, replace, suspend, or discontinue any Subscription benefits, features, eligibility criteria, or pricing or other applicable terms time to time at its sole discretion. Any such changes shall apply prospectively and shall not affect the remaining term of an active Subscription.

6.3 Payment Term

Hamrobazar may allow the Subscription Fee to be paid upfront or in instalments. Instalment billing does not alter the Subscription Term specified in the applicable Purchase Details or create separate subscription periods. If an instalment is not paid when due, Hamrobazar may suspend the Subscription, related listings and unused Subscription benefits until payment is received. A suspension caused by the Seller's non-payment does not extend the Subscription term.

6.4 Use and Expiry of Benefits

Subscription benefits must be used within the Subscription term unless the applicable package states otherwise. Unused benefits expire at the end of the Subscription term and do not carry over, transfer or convert into cash or a refund.

6.5 Subscription Listings

Unless the package states otherwise, Listing Slots made available solely through a Subscription Package or Product published in Listing Slot will not remain active when the Subscription term expires, even if an Listing was published shortly before Subscription expiry period.

6.6 Scheduled Promotional Benefits

Where a Subscription includes a time-sensitive or inventory-based promotional benefit, the Seller shall request activation within the applicable advance notice period. Such benefit remains subject to reasonable operational availability and any specific placement, date or inventory shall be guaranteed only where expressly confirmed by Hamrobazar.

6.7 Verification Benefit

Where a Subscription includes a Verified Seller-related benefit, the Seller must still successfully complete Hamrobazar's verification process. Purchase of a Subscription does not guarantee verification.

6.8 Cancellation and Renewal

The Seller may cancel its Subscription to prevent renewal after the current Subscription Term. Such cancellation shall not affect any amounts already due or payable for the current Subscription Term. The Subscription shall not automatically renew unless the Seller expressly selects or agrees to the auto-renewal option. If any payment due from the Seller is not made by the applicable due date, Hamrobazar reserves the right to suspend or restrict the Seller’s access to the Subscription and its associated benefits until the outstanding payment is received, without prejudice to any other rights or remedies available to Hamrobazar under these Terms. Cancellation shall prevent renewal after the current Subscription Term but shall not relieve the Seller of any amounts due or committed for the current Subscription Term.

6.9 No Commercial Outcome Guarantee

The Seller acknowledges and agrees that the Subscription Package provides access to the specified Subscription Package benefits and other benefits only and does not guarantee or represent that the Seller will receive any particular number of views, enquiries, leads, sales, conversions, revenue, customers or other commercial outcomes. Hamrobazar shall not be liable for any loss, cost, expense or damage arising from or relating to the Seller's failure to achieve any particular commercial result.

7.1 Purpose of Verification

The Verified Seller Badge confirms only that the relevant Account has successfully completed Hamrobazar's verification process for the information or documents requested from that Seller.

7.2 No Endorsement or Guarantee

A Verified Badge does not mean that Hamrobazar endorses, recommends or guarantees the Seller, any Listing, any product or service, product authenticity or quality, pricing, delivery, payment, conduct or the successful completion of any transaction.

7.3 Verification Information

Depending on the type of Seller and applicable category, Hamrobazar may require identity documents, contact information, business registration documents, PAN/VAT details, address information, licenses or other information reasonably required to verify the Seller or comply with applicable law.

7.4 Authority for Business Accounts

A person or legal entity applying on behalf of a business represents that he or she is authorized to provide the required information and act on behalf of that business.

7.5 Verification Decision

Submission of an application or payment of a verification fee does not guarantee issuance of the Badge. Hamrobazar may request additional information where submitted information is incomplete, inconsistent, outdated or requires further review.

7.6 Continuing Eligibility and Re-verification

Verification shall remain valid for one (1) year from the date of successful verification, unless suspended or cancelled earlier in accordance with these Terms, and shall be subject to renewal upon expiry. Hamrobazar may request updated information or re-verification at the time of renewal or earlier where material information changes, submitted documents expire, ownership or control changes, or any fraud, identity, safety or compliance concern arises.

7.7 Suspension or Revocation

Hamrobazar may suspend or revoke a Verified Badge where the Seller no longer satisfies verification requirements, provides false or altered information, misuses the Badge, materially breaches the Platform Terms, engages in fraud or impersonation, or fails to make an applicable payment.

7.8 Badge Use

The Verified Badge is personal to the relevant Account and may not be transferred, sold, copied, reproduced or used for any other account or purpose without Hamrobazar prior written permission. Upon expiry, suspension or cancellation of the Verified Badge, Hamrobazar may remove the Badge and any related verification status from the Platform, and the Seller shall cease representing itself as a Verified Seller or using the Badge in any external marketing or promotional materials.

7.9 Verification Data

Information and documents submitted for verification will be handled in accordance with the Hamrobazar Privacy Policy and applicable law. Verification documents themselves are not ordinarily displayed publicly; only the resulting verification status or Badge may be shown.

8.1 Boost Options and Rates

Hamrobazar may offer different Boost types, tiers or rates. The applicable price may vary by category, duration, placement, priority level, Seller or Subscription status, campaign, or other characteristics disclosed before purchase.

8.2 Purchase Terms

The price and material promotional treatment applicable to a Boost will be shown or otherwise confirmed before purchase. The price confirmed at purchase governs that Boost.

8.3 Eligible Listing

A Boost may only be applied to an eligible Active Listing. A Boost does not extend the ordinary expiry period of the underlying Listing unless expressly stated.

8.4 Promotional Treatment

A Boost gives the Listing the promotional treatment associated with the selected Boost option, which may include enhanced visibility, elevated placement or priority positioning. Unless a fixed position is expressly guaranteed, a Boost does not guarantee a permanent or absolute search position.

8.5 Placement

Boosted placement may vary because of other active Boosts, relevance, category structure, search or recommendation logic, user filters and normal Platform operations.

8.6 Activated Boosts

Once a Boost has commenced, the Boost fee is non-refundable except for duplicate payment, failure to activate due to a verified Hamrobazar error, or where required by law.

8.7 Listing Removal

If the Seller deletes the underlying Listing, or the Listing is removed because of the Seller's breach of applicable law or Platform rules, any unused Boost period expires without refund or transfer.

8.8 Platform Failure

If Hamrobazar cannot materially provide the purchased Boost because of a error attributable to Hamrobazar, it may restore the affected Boost period and extend reasonable time period.

8.9 No Result Guarantee

A Boost does not guarantee messages, enquiries, leads, sales or transactions.

9.1 "Banner Advertisement" means a paid, time-bound promotional placement purchased by a Seller or advertiser for display in a designated banner placement on the Platform, including homepage, category-page, side-banner or other banner inventory made available by Hamrobazar from time to time. Banner Advertisement is distinct from any listing boost, search-ranking or other listing-promotion service. The placement, duration, fees, payment terms and other commercial conditions applicable to a Banner Advertisement may be separately agreed through an MOU, order form or other written agreement. To the extent of any inconsistency concerning that Banner Advertisement, such separate written agreement shall prevail over these Seller Program Terms.

9.2 The advertiser shall purchase a Banner Advertisement for the specific placement and campaign duration agreed with Hamrobazar. The applicable placement, size, format, duration and technical specifications shall be as communicated by Hamrobazar at the time of booking. The Banner Advertisement shall automatically expire upon completion of the purchased campaign period, unless otherwise agreed in writing.

9.3 All Banner Advertisement creatives, including images, text, logos and links, are subject to Hamrobazar's approval. Hamrobazar may reject, require modification to suspend or remove any creative that does not comply with these Terms, applicable law or Platform policies. Hamrobazar reserves the right to accept or reject any banner advertisement request at its sole discretion. Any creative changes requested by the Advertiser or Seller after commencement of the Banner Advertisement shall be subject to HamroBazar's approval and may result in additional charges or adjustment to the campaign period.

9.4 The Advertiser is solely responsible for the accuracy, legality and content of its Banner Advertisement and for obtaining all necessary rights and permissions relating to the materials used therein. Approval or publication of a Banner Advertisement by Hamrobazar shall not constitute verification or endorsement of the Advertiser, its products, services or claims. Further, seller/advertiser agrees and acknowledges that Hamrobazar is not responsible for, and shall not be liable for, any fraud, scams, misrepresentation, defective goods or services, failed transactions, or disputes arising from or relating to a Banner Advertisement or any resulting transaction.

9.5 Banner Advertisement fees shall be based on the selected placement, campaign duration, advertising package and other applicable specifications, as displayed on the Platform or otherwise agreed separately in writing between the Seller and Hamrobazar, including through an MOU, order form or other agreement. The applicable fees, payment terms and tax arrangements for the Banner Advertisement shall be as mutually agreed between the Seller and Hamrobazar and may be set out in a separate MOU, order form or other written agreement.

9.6 Banner Advertisement fees are non-refundable once the campaign has commenced. No refund shall be provided for cancellation, deletion, withdrawal or discontinuation of the Banner Advertisement by the Advertiser after commencement. A refund shall only be available where required by applicable law, or the Banner Advertisement is not activated due to a verified technical error attributable to Hamrobazar.

10.1 Seller Programs require an active Hamrobazar Account. Suspension or termination of the Account may suspend or terminate associated Program benefits.

10.2 Program benefits, listing slot entitlements, verification status and promotional benefits are non-transferable unless Hamrobazar expressly permits otherwise.

10.3 Hamrobazar may suspend or remove a Program benefit where reasonably necessary to address fraud, unlawful conduct, misuse, security concerns, non-payment or breach of these Seller Program Terms or the Platform Terms.

10.4 Hamrobazar may change the structure, eligibility criteria, features, future pricing or availability of Seller Programs from time to time. Material changes will apply prospectively and will not ordinarily remove a material paid benefit already purchased for its current validity period, except where required by law, necessary for security or Platform integrity, or otherwise expressly stated in these Terms.

11.1 Seller Program fees are fees for the specific listing, subscription, verification or promotional service purchased from Hamrobazar. Payment of such fees does not make Hamrobazar the seller, buyer, agent, broker, guarantor, payment recipient for the underlying goods or services, or a party to a transaction.

11.2 Sellers remain responsible for the accuracy and legality of their Listings, ownership or authority to sell, applicable licenses and disclosures, pricing, buyer communications, delivery, warranties, returns, refunds, taxes and all other obligations arising from their transactions with buyers. Hamrobazar disclaims any and all liability arising from or relating to any Listing, product or service, Seller conduct, buyer-seller transaction, or any resulting dispute, claim, loss, damage, cost or expense.

11.3 Hamrobazar does not guarantee or assume responsibility for the accuracy or completeness of listings or advertisements, payment by buyers, delivery or performance of products or services, product authenticity, ownership or title, completion of transactions, or any dispute, loss or damage arising from a transaction.

11.4 The Platform and its services are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Hamrobazar does not warrant that the Platform or its services will be uninterrupted, error-free, secure or continuously available.

The Seller shall not list, advertise, offer, sell or otherwise promote any goods or services that are prohibited, restricted or unlawful under applicable laws or regulations, or are included in Hamrobazar's prohibited goods or services list, as published, amended or updated by Hamrobazar from time to time. The Seller shall be solely responsible for ensuring that its Listings comply with such requirements. Hamrobazar reserves the right, without prior notice and without liability, to reject, remove, suspend or disable any Listing that Hamrobazar reasonably believes violates this Clause, applicable law or Platform Terms, and may take any other action available under these Terms.

Hamrobazar may, where reasonably necessary, require the Seller to provide information or supporting documentation to verify compliance with applicable law, the Platform Terms or applicable Listing requirements. Failure to provide satisfactory information or documentation within the period specified by Hamrobazar may result in rejection, suspension or removal of the relevant Listing or restriction of the Seller's Account or Program benefits.
